Terms of Service

Who we are & acceptance

Selda (selda.ai) is operated by Selda Oy, a limited company registered in Finland (business ID 3546628-1, registered address Viipurinkatu 12 L 122, 00510 Helsinki, Finland) ("Selda", "we", "us"). By creating an account or using the service, you agree to these terms. If you do not agree, do not use the service.

Business use only

Selda is a business-to-business service intended solely for use by companies and professionals in the course of their business or profession. By using Selda you represent and warrant that you are acting in a business capacity and not as a consumer, and that you are authorized to bind the organization on whose behalf you use the service. The service is not directed at, offered to, or intended for consumers, and consumer-protection provisions that would otherwise apply do not apply to this business relationship.

The service

Selda is a go-to-market engine. It helps businesses understand their market, find the right audience, generate personalized outreach across multiple channels, and turn replies into meetings and pipeline. The service includes, among other things:

• Website and product analysis, business profiling, and ICP (ideal customer profile) generation.
• AI-powered market research, competitor analysis, and market intelligence.
• Go-to-market strategy, plays, and idea generation.
• Lead and decision-maker discovery, and contact enrichment.
• AI-generated, research-backed outreach messages and sequences.
• Multi-channel outreach and channel connections, including email and LinkedIn, with further channels added over time.
• Campaign management, sales inbox, reply handling, and meeting scheduling.
• Open and click tracking, performance analytics, and a contact/lead CRM.
• Programmatic access via API/MCP and related tooling.

The service, its features, included credits, limits, and underlying providers and AI models evolve continuously. We reserve the right, at our sole discretion and at any time, to add, modify, suspend, or discontinue any feature or part of the service. We will give reasonable notice of material adverse changes where practicable, but we are not liable to you or any third party for any modification, suspension, or discontinuation of the service or any feature.

Your account

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Selda. You must provide accurate information when creating your account, keep it current, and you are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at support@selda.ai if you suspect unauthorized access.

If you register or sign in using an email address belonging to an organization (e.g. your employer), we may treat your account as managed by that organization, and its administrators may access, manage, suspend, or terminate the account and its data.

Your responsibilities

• You are responsible for all content you create, send, or publish through Selda.
• Do not use Selda for spam, harassment, illegal activity, or deceptive practices.
• You must comply with applicable anti-spam laws including CAN-SPAM, GDPR, and any local regulations.
• When connecting social accounts, you must have authorization to use those accounts for outreach.
• Do not attempt to circumvent sending limits, rate limits, or other product safeguards.

Third-party integrations & platform automation

Selda connects to third-party services (social media platforms such as LinkedIn, email providers, calendar services) on your behalf. These integrations are subject to the third party's own terms of service. We are not responsible for third-party service availability, changes, or outages. You may disconnect any integration at any time from your project settings. If a third-party service stops making its functionality available to us on reasonable terms, we may cease offering that feature without notice, refund, or credit.

Some third-party platforms restrict or prohibit automation, messaging volumes, or connection activity. You are solely responsible for understanding and complying with the rules and usage limits of any platform you connect, and for configuring your use accordingly. Selda Oy is not liable for any restriction, suspension, throttling, or termination of your third-party accounts (including LinkedIn or email accounts), or for any other consequence, arising from outreach or automation conducted through the service, whether automated or manual. All such risk rests solely with you.

Data roles and lead data

For campaign data you create and process through Selda (your leads, messages, replies, and results), you act as the data controller and Selda processes that data on your behalf. For Selda's shared business contact database, Selda acts as the data controller as described in our Privacy Policy. Business contact and company information discovered during use of the service may be retained by Selda and reused to improve lead discovery for all customers. Your campaign content, messages, replies, and performance data are never shared with other customers. You remain responsible for ensuring that your outreach complies with the marketing laws of your target markets.

Data processing terms

Where Selda processes personal data on your behalf, the following applies: we process such data only to provide the service and per your instructions given through the product; we keep it confidential; we use the subprocessors listed in our Privacy Policy and will reflect material changes there; we apply appropriate technical and organizational security measures; we assist you with data subject requests concerning your campaign data; and on account deletion we delete your campaign data within 30 days. These terms constitute the data processing agreement between you and Selda. If you require a separately signed DPA, contact legal@selda.ai.

AI-generated content

Selda uses AI to generate research, strategies, and outreach messages. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing all content before sending. Selda does not guarantee the accuracy, completeness, or effectiveness of AI-generated output.

Billing and credits

Paid plans are billed monthly. You can cancel anytime. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months. We may change pricing with 30 days notice.

Plans include usage credits. Credits are prepaid, consumed by work the engine performs for you (research, lead discovery, contact enrichment, message generation), and are consumed based on the effort and resources used regardless of the outcome. Consumed credits are non-refundable and non-redeemable for cash, including when you choose not to use the resulting leads or messages or when output is imperfect and must be regenerated. If we terminate your account for breach, fraud, or abuse, remaining credits are forfeited. Credit amounts per plan are described on the pricing page.

Taxes. Prices are exclusive of taxes unless stated. You are responsible for all applicable taxes (such as VAT, GST, sales or use taxes) and duties, other than taxes on our net income. Where we are required to collect tax, it is added at checkout and on your invoice based on the information you provide; you are responsible for keeping your tax details accurate. If you purchase as a business, you agree to provide a valid VAT or equivalent registration number where applicable.

Sending and deliverability

Selda applies sending limits, domain warm-up, and pacing to protect email deliverability for all customers. We may adjust your sending volume to protect sender reputation. Email deliverability depends on factors outside our control (recipient servers, spam filters, your domain reputation), and we do not guarantee delivery, open, or response rates. Campaigns require your review and approval before sending.

Intellectual property & reservation of rights

You retain ownership of the content you create and upload. By using Selda, you grant us a worldwide, non-exclusive license to host, process, and transmit your content as needed to provide the service.

Selda Oy owns and retains all right, title, and interest in and to the Selda platform and everything that makes it up, including its software, source code, architecture, databases, the structure and contents of our business contact database, AI systems, prompts, pipelines, models and model configurations, workflows, methods, user interfaces, designs, layouts, look and feel, text, graphics, logos, trademarks, and the "Selda" name and brand. All rights not expressly granted to you are reserved. Nothing in these terms transfers any ownership of the platform or any intellectual property to you. Your right to use the service is a limited, revocable, non-exclusive, non-transferable license for the term of your subscription, and nothing more.

We own all usage data, telemetry, logs, and performance metrics generated by or in connection with your use of the service ("Usage Data"). We may use Usage Data, and de-identified, anonymized, or aggregated data derived from your use, for any lawful business purpose, including security, analytics, benchmarking, and improving the service. Such data does not identify you. We do not use your identifiable campaign content to train general-purpose AI models, consistent with our Privacy Policy.

Restrictions: what you may not do

To protect the platform we built, you agree that you will not, and will not permit or help any third party to:

• Copy, clone, or recreate the Selda platform, or any part of it, in whole or in part.
• Build, develop, or assist in building a competing or similar product or service using Selda, its outputs, its structure, or any knowledge gained from accessing it.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, models, prompts, or underlying ideas, algorithms, or know-how of the platform, except to the limited extent this restriction is prohibited by mandatory law.
• Scrape, crawl, harvest, copy, or extract data, content, the contact database, or any other part of the service by any automated or manual means, except through features Selda explicitly provides.
• Use the service or any output to train, fine-tune, or develop any competing AI model, dataset, or machine-learning system.
• Resell, sublicense, rent, lease, or commercially exploit the service or access to it without our prior written consent.
• Remove, obscure, or alter any proprietary notices, branding, or trademarks.
• Circumvent or attempt to circumvent any usage limits, rate limits, security measures, authentication, or access controls.
• Access the service to monitor its availability, performance, or functionality for competitive purposes, or for any benchmarking without our written consent.

Any breach of this section is a material breach of these terms. We may suspend or terminate your access immediately, and we reserve the right to pursue all available legal and equitable remedies, including injunctive relief and damages.

Feedback

If you send us ideas, suggestions, feature requests, or other feedback about the service, you grant Selda Oy a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback into our products and services without any obligation, attribution, or compensation to you.

Service availability and beta features

We aim for high availability but do not guarantee uninterrupted service, and no SLA applies unless separately agreed. Features marked as beta or early access are provided for evaluation, may change or be removed without notice, and are excluded from any warranties.

Indemnification

You agree to indemnify Selda against claims arising from your content, your outreach, your violation of these terms, or your violation of applicable law, including anti-spam and data protection law in your target markets.

No sensitive data

Selda is not designed to process special categories of personal data. Unless we agree otherwise in writing, you must not upload or process through the service any sensitive or special-category data (such as health data, government identifiers, payment card numbers, or biometric data). If you do so, you do it at your own risk, you are solely responsible for having a lawful basis and any required consents, and you agree to indemnify us for any resulting claims. We may remove such data or suspend the affected service.

Export controls & sanctions

You must comply with all applicable export-control and sanctions laws, including those of the EU, Finland, the United States, and the United Kingdom. You may not use the service if you are located in, resident in, or acting on behalf of a person in a country or territory subject to comprehensive sanctions, or if you are on any applicable restricted- or denied-party list. You represent and warrant that you are not subject to such restrictions.

Reporting abuse & illegal content

If you believe content sent or hosted through the service is illegal, infringes your rights, or violates these terms, report it to abuse@selda.ai. For copyright complaints, include the work concerned, the allegedly infringing material, and your contact details. For the purposes of the EU Digital Services Act, our point of contact for users and authorities is abuse@selda.ai; communications may be in English or Finnish. We may review, remove, or disable content and suspend accounts where we reasonably believe these terms or the law have been violated, and cooperate with law-enforcement and regulatory authorities as required.

Warranty disclaimer

The service is provided "as is" and "as available" without warranty of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be accurate, reliable, error-free, uninterrupted, secure, or free of harmful components, that defects will be corrected, or that the service will meet your needs, expectations, or produce any particular business result. We have no obligation to provide support or maintenance except as expressly agreed. The foregoing does not affect any warranties that cannot be excluded under mandatory applicable law.

Limitation of liability

To the maximum extent permitted by law, Selda Oy shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, business, data, goodwill, anticipated savings, or business opportunity, arising under or in connection with the service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable or if we were advised of the possibility.

Our total aggregate liability for all claims arising out of or relating to the service shall not exceed the lesser of (a) the amount you paid us for the service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) EUR 3,000. These limitations apply even if a remedy fails of its essential purpose. You acknowledge that, absent your agreement to this limitation, we would not provide the service at the prices offered.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under mandatory Finnish law, including liability for damage caused by gross negligence or willful misconduct, or for death or personal injury.

Suspension & termination

We may suspend or terminate your account, in whole or in part, immediately and at our sole discretion, if you violate these terms, engage in abusive or unlawful behavior, expose us to legal or reputational risk, fail to pay, or where we reasonably suspect any of the foregoing. We may also suspend access while we investigate a suspected breach. You may delete your account at any time. We will have no liability to you for any suspension or termination, and fees already paid are non-refundable. Upon termination, your campaign data will be deleted within 30 days, except where retention is required by law.

Survival

Provisions that by their nature should survive termination will survive, including those on intellectual property, restrictions, the feedback license, warranty disclaimer, limitation of liability, indemnification, governing law and dispute resolution, and entire agreement.

Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, malicious damage, network or infrastructure failures, outages or changes by third-party providers, or compliance with any law or government order.

Assignment

You may not assign or transfer these terms or your account without our prior written consent. Selda Oy may freely assign or transfer these terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets.

No waiver

Our failure to enforce any provision of these terms is not a waiver of that provision or of our right to enforce it later.

Reference rights

You grant Selda Oy the right to identify you as a customer and to use your business name and logo in our marketing and sales materials, including on selda.ai, in customer lists, case studies, and presentations. You may withdraw this right by emailing legal@selda.ai, after which we will stop the relevant use within a reasonable period, except for materials already produced or distributed.

Governing law & dispute resolution

These terms are governed by the laws of Finland, without regard to conflict-of-law rules. Before commencing formal proceedings, the parties will first attempt to resolve any dispute amicably: the complaining party sends written notice describing the claim and the relief sought to legal@selda.ai, and the parties have 30 days to resolve it.

Any dispute, controversy, or claim arising out of or relating to these terms or the service, or any non-contractual obligations relating thereto, that is not resolved informally shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce. The seat of arbitration is Helsinki, Finland, and the language is English. The proceedings and the award shall be kept confidential. Notwithstanding the foregoing, Selda Oy may bring proceedings to recover unpaid fees, or seek injunctive relief to protect its intellectual property, in the District Court of Helsinki or any other court having jurisdiction. If any provision is found unenforceable, the remaining provisions remain in full effect.

Entire agreement

These terms, together with the Privacy Policy, form the entire agreement between you and Selda Oy regarding the service and supersede all prior negotiations and understandings. No modification is binding on us unless agreed in writing by an authorized representative of Selda Oy.

Notices

We may give you notices, including service announcements, changes to these terms and pricing updates, by email to the address on your account, through in-product notifications, or by posting on selda.ai. Notices are effective when sent or posted. You are responsible for keeping your account email current; a notice sent to that address is deemed received even if the address is no longer valid. Legal notices to us must be sent to legal@selda.ai.

Changes

We may revise these terms from time to time at our sole discretion. We will post the revised terms here and update the date above, and will give reasonable notice of material changes (e.g. by email). Your continued use of the service after the revised terms take effect constitutes acceptance.
